1. About These Terms

These Terms govern your use of No Bad Surprises, the wish-list and gift-coordination service operated by Morz Group (Pty) Ltd. The Service includes nobadsurprises.com and supported applications and is intended for users in South Africa.

By creating an account or using the Service, you agree to these Terms. Our Privacy Policy forms part of these Terms.

IMPORTANT: Please read sections 13 and 14 carefully. They contain liability and indemnity provisions that may affect your rights and obligations.

3. South African Law and Consumer Rights

These Terms are governed by South African law. In these Terms, CPA means the Consumer Protection Act 68 of 2008, ECTA means the Electronic Communications and Transactions Act 25 of 2002, and POPIA means the Protection of Personal Information Act 4 of 2013.

Nothing in these Terms excludes, restricts or waives a right or remedy that cannot lawfully be excluded under the CPA, ECTA or other applicable South African law.

4. Eligibility and Children

If you are under 18 and are not legally competent to agree independently to these Terms and the related processing of personal information, a parent, guardian or other competent person must authorise your use of the Service. Do not create an account where the authorisation required by law has not been obtained.

5. Your Account

You must provide accurate information and keep your login credentials secure. You are responsible for activity under your account except to the extent that responsibility cannot lawfully be placed on you.

Do not share your account or permit unauthorised access. If you suspect unauthorised access, contact us promptly. We may suspend or terminate access for serious or repeated breaches, misuse, security risks or unlawful activity, subject to applicable law.

You may request account closure or deletion, subject to information that we are required or permitted to retain by law.

6. What No Bad Surprises Does

No Bad Surprises lets you create wish lists, share them with people you choose and coordinate gift-giving without revealing to the list owner who has claimed an item. The Service is currently provided free of charge.

7. Your Content and Sharing

You retain ownership of wish-list items, notes and other content you submit (“Your Content”). You grant Morz Group a limited, non-exclusive licence to host, store, process, display and share Your Content only as reasonably necessary to operate the Service and provide it to you and the people with whom you choose to share it.

You are responsible for what you submit and share. You must not submit content that infringes intellectual-property or privacy rights, is unlawful or defamatory, contains malicious code or is otherwise prohibited by applicable law.

We may remove or restrict content where reasonably necessary to enforce these Terms, protect users or comply with law.

8. Intellectual Property and Licence

The Service, software, design, text, graphics and branding are owned by or licensed to Morz Group (Pty) Ltd. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable and revocable licence to use the Service for its intended personal purpose.

You may not copy, modify, distribute, sell, scrape, reverse-engineer or circumvent technical protections except to the extent applicable law expressly permits.

9. App Stores and Third-Party Terms

If you obtain an app from an app store, the store’s applicable terms and standard licence terms also apply to your relationship with that store.

If you obtain an app from Apple’s App Store, Apple’s standard end-user licence agreement applies unless a custom licence agreement has been provided for that app. Other applicable app-store terms may also apply to your relationship with the relevant store.

10. Prohibited Use

You may not use the Service unlawfully; impersonate another person; collect another person’s personal information without lawful authority; send spam or malicious code; interfere with or disrupt the Service; attempt unauthorised access; scrape or systematically extract data; or use the Service for an unauthorised commercial purpose.

11. Third-Party Services

The Service may use third parties for hosting, analytics, support and app distribution and may link to unrelated third-party websites. Their own terms may apply. Our processing of personal information is described in our Privacy Policy.

12. Availability and Changes

We may update, change, suspend or discontinue the Service or a feature.

13. Important Liability Notice

This section limits our liability.

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by South African law, we do not warrant uninterrupted or error-free operation and we exclude liability for indirect or consequential loss arising from use of or inability to use the Service.

We do not exclude or limit liability where doing so is prohibited by law, including liability that cannot be excluded under the CPA. Nothing in these Terms limits any mandatory statutory consumer remedy.

14. Indemnity

This section may require you to reimburse us in limited circumstances. To the extent permitted by law, you are responsible for reasonable direct losses or costs caused by your unlawful use of the Service or a material breach of these Terms. This clause does not make you responsible for loss caused by Morz Group’s gross negligence or conduct for which liability may not lawfully be shifted to you.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email where reasonably practical. Where the law requires fresh acceptance, we will obtain it.

16. Complaints and Disputes

Please contact info@morzgroup.com first so that we can try to resolve a complaint. You remain free to use any statutory consumer, regulatory, ombud, tribunal or court process available under South African law. South African courts have jurisdiction, subject to mandatory jurisdiction rules.

17. General

Severability. If a provision is invalid or unenforceable, it will be severed or limited only to the extent necessary, without affecting the remainder.

No waiver. A failure to enforce a provision is not a waiver of that provision.

Language. The English version is the operative version.
